Item 3.02
Unregistered Sale of Equity Securities.
 
On November 22, 2019, a subsidiary of KKR & Co. Inc. (“KKR”) acquired a 5.0% equity interest (the “Investment”) in Marshall Wace LLP and its affiliates (“Marshall Wace”).  KKR funded the Investment through a combination of cash and the issuance of 5.7 million shares of KKR Class A Common Stock to certain Marshall Wace equityholders in a private transaction exempt from registration in reliance on Section 4(a)(2) of the Securities Act of 1933, as amended.
